Xerys Gestion wants to give investors the opportunity to support selected companies at every stage of their development. They can therefore opt to invest in each of the portfolio companies, according to their expectations and their profiles, through dedicated funds and/or mutual funds.
Our dedicated funds for targeted asset allocation and tracked performance:
Financières Xerys: funds dedicated to a specific company capable of offering, subject to certain conditions, a reduction in French Solidarity Tax on Wealth (“ISF”) and/or Income Tax (“IR”) .
Xerys Venture Capital: tracked funds, making it possible to track the performance of a specific company, without pooling investments. Xerys Venture Capital Funds also plan to apply for the French status of Venture Capital Company («SCR» in French), which would offer — subject to certain conditions (including the fact that investors must hold their shares for a five-year period) — exemptions from capital gains tax and taxes on dividends received .
Xerys Evolution: Xerys Evolution is a private equity Unit of Account, part of a life insurance policy. This diversification solution is for professional investors who, thanks to life insurance, want access to the private equity asset class with returns potentially high. At the time of printing the Brochure, the Xerys Evolution vehicle is not marketed.
Xerys Entreprises: this vehicle offers customized reinvestment solutions for investors who need to reinvest 50% of proceeds from equity sales to optimize taxation.
Our mutual funds for diversified asset allocation and pooled performance:
Xerys Innovation («FCPI»): innovation-focused mutual fund capable of offering, subject to certain conditions, a reduction in French Solidarity Tax on Wealth (“ISF”) and/or Income Tax (“IR”) , and an exemption from capital gains tax . It also allows for pooling of risk (currently closed to new subscriptions).
Xerys Capital : holdings or venture capital funds intended for professional investors and/or informed investors, particularly institutionnal investors, family offices, etc.
(1) The FCPI Xerys Innovation 1 and Financières Xerys make it possible to benefit from the tax advantages set forth in articles 885-0 V bis (reduction in French wealth tax) and/or 199 articles-0 A (reduction in income tax) of the general tax code, subject to meeting the conditions of the abovementioned articles. Investors should consult their personal tax advisors.
(2) Xerys Venture Capital (XVC) and Xerys Venture Capital 2 (XVC2): XVC plans to opt for the status of Venture Capital Company, a tax status that under certain conditions makes XVC a tax-exempt corporation and would exempt its shareholders from tax on the dividends received from XVC. Please note that venture capital company status is by no means guaranteed and that income tax exemption of dividends received from XVC by individual shareholders who are French tax residents is subject to a number of conditions. XVC2 has already opted for the status of Venture Capital Company («SCR»).
(3) Exemption from capital gains tax. Social security contributions (15.5% at the date of publication of this Brochure) are due on amounts received by individual investors.
(4) Xerys Capital France is currently in the process of formation. Subscription will be restricted to professional or informed investors. The Management Company does not accept subscriptions from investors not meeting the eligibility requirements. Xerys Gestion also advises Xerys Capital Luxembourg, a special limited partnership under Luxembourg law in which subscription is restricted to professional investors as defined by the Luxembourg Financial Sector Supervisory Commission (CSSF).
